The later Naughties have shown many businesses in turmoil as they have been over stretched with their lenders. In the good times this has been hidden by excellent profits and increasing sales. All of a sudden a balance sheet is exposed and no one is truly accountable as the Chairman or Chief Executive has not been appropriately challenged and they manage to hide behind mismanagement without taking responsibility for their own actions. Company Non Executives have generally been friends or part of the club. Corporate Governance is about to change as the 21st Century approaches teenage hood.
The role of an NED is not to stand in the way, say no to everything and slow down the corporate mechanics in such a way that the commercial engine room comes to a complete stop. The Non Executive is there to support the rest of the Board (be it through contacts, advise, project work, playing devil’s advocate or simply being an independent sounding block to the loneliest person in a business – the CEO). Neither does the role involve taking large salaries and expenses. It is appropriate to be fairly rewarded for ones time and out of pocket expenses. Any additional reward for success should be via equity which, as we all now know, can go down quickly with poor performance.
Principally, Rob Galkoff is available to take on a limited number of NED roles. We are also happy to use our network of senior business executives to help you fulfil roles as appropriate. Consultants make an ideal Non Executive Director as their main job function is to challenge others and be comfortable giving their opinions.
